Rights and Obligations of INVESTORSEUROPE

a. INVESTORSEUROPE shall provide "Manager" and "Client" level access to the Platform as defined by the software Manufacturer Metaquotes.

b. INVESTORSEUROPE shall provide as part of this agreement one standard Client terminal White Labeled and with Clients information for use by Client.

c. INVESTORSEUROPE will be responsible for the maintenance of all computer hardware and software used to maintain functionality of the Platform. The Platform will deliver regular updates to the terminals used by the Client.

d. INVESTORSEUROPE reserves the right to service the Platform at any time in order to maintain proper functionality for the Client. INVESTORSEUROPE will make reasonable efforts to contact the Client prior to performing maintenance that will effect the day-to-day operations of the Platform. INVESTORSEUROPE shall not be held responsible or liable for losses incurred due to emergency maintenance performed on the Platform.

e. INVESTORSEUROPE promises that the client information of Client will be kept confidential. INVESTORSEUROPE will keep an audit log of all queries made to the client and trade database, and will use such access only to support Client, determine per trade charges, or comply with a regulatory or legal order.

f. INVESTORSEUROPE will run regular backups of the Platform and subsequent databases in order to protect in case of hardware failure the information stored within. INVESTORSEUROPE will grant restorative services in the case of hardware failure. INVESTORSEUROPE cannot guarantee that the service provided can absolutely prevent the loss, change, and unauthorized access of Client’s data.

g. Should INVESTORSEUROPE, according to its own judgment, believe that the utilization of service by Client may result in serious threat to computer safety or serious interference to data center of INVESTORSEUROPE or any third party or the normal operation of the related services, INVESTORSEUROPE shall have the right to restrict or terminate all or partial service used by Client.

h. INVESTORSEUROPE will provide client with a default Forex feed.

i. Create new groups as requested by customer

Rights and Obligations of Client

a. The client will trade FOREX currencies of the format CURRENCY1/CURRENCY 2 (i.e. EUR/USD) on the above mentioned Platform. Currency 1 will be known as the Base Currency.
b. The client will pay an installation fee of $5,000 (five thousand US dollar). Client will also pay a flat monthly fee of $1,500 (one thousand five hundred USD) from Delivery date. Delivery is deemed to be a downloadable MT4 client terminal, branded with Clients Logo and information, working FX feed and able to execute trades..
c. Client takes full liability over the trading and brokering done through the Platform. Client will have the sole responsibility for conforming to all regulatory statutes and legal limitations.
d. Client shall be fully liable for any illegal operation leading to damage of INVESTORSEUROPE’s equipment. The compensation shall be limited by the repurchase cost of the damaged equipment and hardware, and shall not include the relevant software, databanks, and the similar configurations.
e. Client shall submit the information content to the relevant competent authorities for examination to assure the quality and legality of the operation of the Platform. Should the information of INVESTORSEUROPE violate laws, regulations, and policies, INVESTORSEUROPE shall temporarily suspend or permanently terminate the online service of Client in accordance with the orders from the relevant authorities.
f. INVESTORSEUROPE will provide one White Label Client terminal with client company information (name, address, phone ….) bearing the Client’s Logo.
g. INVESTORSEUROPE will provide client with up to 24 symbols grouped in no more than 2 symbol groups called securities. Such symbols will be configured with spread, margin requirements, swap and any other configuration as requested by the client. If client requires own symbols they may be bought for a cost of 5000 usd per 24 symbols.
h. INVESTORSEUROPE will provide client, after delivery with up to 12 groups and will configure each group as requested by the Client (margin call values, stop out values, rights to use Expert Advisors, news items, enabled/disabled swaps, commission, added spread..), which will be for his exclusive usage, his exclusive visibility. Additional Groups may be purchased subject to availability on the server. Group setups depending on their complexity will be actioned as soon as possible.

i. INVESTORSEUROPE will provide the Client with access to up to 12 Manager Account which will be enabled for the following items via the Manager software :
i. Open customer accounts
ii. Edit customer personal information
iii. Deposit/withdraw money

V. Operation and Ownership of Property Right

a. The property right of facilities, equipment and platform software of INVESTORSEUROPE that are used to accommodate information server of Client shall belong to INVESTORSEUROPE exclusively.

b. Though the data is stored on the servers, the data inputted in the server by the Client belongs to the Client. It is not the responsibility of INVESTORSEUROPE to migrate this data in the case of a termination of this agreement. Migration services can be provided at an additional fee and agreement outside of the scope of this document.
